TERMS AND CONDITIONS OF COURSE PARTICIPATION AT THE 3M SKILLS DEVELOPMENT CENTER

As a course participant you must carefully read these Terms and Conditions of Course Participation (“Terms”) before finalizing your registration. Your participation in this course is conditioned upon your acceptance and compliance with these terms in full. If you do not accept these terms, you should not register for this course.

IMPORTANT NOTE: If you are submitting this course registration on behalf of the course participant, either as the participant’s employer/institution/association or other organization affiliated with the participant (each an “Organization”), you agree to ensure the participant reads and accepts these Terms prior to attending the course.


Release and Indemnity
  • 1- I acknowledge that I am 18 years old or older.
  • 2- I acknowledge that the training and educational activities involved in this course, if not performed in accordance with all instructions, guidelines and safety requirements, may present an element of risk including the risk of injury, death, or property damage. I agree to remain focused, alert, and follow all safety requirements and instructions when participating in the training course at the 3M Skills Development Center.
  • 3- I waive and release 3M Company, its directors, officers employees, agents, shareholders, successors, assigns, and representatives (collectively “3M”), from and against any and all claims for loss, cost, expense, injury, damages, actions and causes of action, demands and other claims whatsoever which I or my Organization may sustain or incur in connection with the course activities or use of the 3M Skills Development Center, due to any cause whatsoever, including without limitation the negligence of 3M, breach of contract, or breach of any statutory or other duty of care owing under premises liability law or otherwise. I covenant to not make or bring any such claim against 3M, and forever release and discharge 3M from liability under such claims.
  • 4- I agree to indemnify and hold 3M harmless from and against any and all losses, liabilities, claims, obligations, costs, damages and expenses suffered by 3M as a result of my acts or omissions while participating in the course or otherwise using the 3M Skills Development Center.
  • 5- I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE AND INDEMNITY AND THAT I AM VOLUNTARILY WAIVING SUBSTANTIAL LEGAL RIGHTS (ON MY BEHALF AND ON BEHALF OF MY HEIRS, EXECUTORS, ADMINISTRATORS, AND NEXT-OF-KIN), INCLUDING THE RIGHT TO SUE 3M.

Notice

The material contained within this course is for training purposes only and not intended to replace or serve as a substitute for information found in relevant vehicle, part and/or OEM repair procedures; industry-recommended practices; or 3M directions for use.


Course Access – General

Each participant is responsible for ensuring that its account and course completion information is true and accurate. Participants and Organizations must comply with all instructions applicable to the access to and participation in the course, including those set forth online and provided on-site by course instructors and staff.


I-CAR credit

Following participant’s successful completion of this course, 3M will submit the participant’s records to I-CAR to apply for the I-CAR credit and/or knowledge area recognition assigned by I-CAR, as applicable.


Prohibited Acts – Course Materials and Information

The course materials are proprietary to 3M. 3M reserves the right to terminate a participant’s or an Organization’s access to the materials, without advance notice, if these Terms or 3M’s policies are violated. Without limiting the generality of the foregoing:

  • 1- Participant is prohibited from copying or modifying the course (in whole or in part).
  • 2- Participant is prohibited from recording the course (in whole or in part), unless the content is expressly designated as content that may, or should, be recorded.
  • 3- Participant is prohibited from sharing discount codes unless expressly approved by 3M.
  • 4- Participant is prohibited from reverse engineering the course.
  • 5- Participant is prohibited from providing false or inaccurate information to 3M.

Organizations are responsible for its participants’ actions during the course, including compliance with these Terms.


DISCLAIMER OF WARRANTIES

3M does not warrant that attendance at the course will be uninterrupted or error free. Accordingly, ALL ACCESS TO THE COURSE IS ON AN “AS IS” BASIS. 3M DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ARISING OUT OF A COURSE OF DEALING, CUSTOM, OR USAGE OF TRADE.


LIMITATION OF LIABILITY

The exclusive and maximum liability of 3M to Organizations and participants arising from the attendance of (or inability to attend) the course due to any act or omission of 3M shall be for 3M to refund the fee paid to 3M for attendance to the course. Except to the extent prohibited by law, 3M will not be liable for any loss or damage arising from or related to the course or use of the 3M Skills Development Center, whether direct, indirect, special, incidental, or consequential (including, but not limited to, lost profits or business opportunity), regardless of the legal or equitable theory asserted, including, but not limited to, warranty, contract, negligence, or strict liability.


Disputes; Governing Law; Forum

3M and participant or Organization (as applicable) will resolve all claims and disputes arising from or relating to the course and these Terms (collectively “Claims”) exclusively through the following dispute resolution processes: (i) good faith negotiations between duly authorized representatives of each party; (ii) if necessary, non-binding mediation before a neutral mediator jointly selected and paid for by the parties; and (iii) as a last resort, litigation. Any litigation arising from or relating to the course or these Terms shall be filed and maintained exclusively in the state or federal courts located in St. Paul, Minnesota. Participant or Organization (as applicable) consents to the jurisdiction of such courts. This paragraph will not preclude either party from taking other legal action to the extent necessary to prevent immediate, irreparable harm to that party’s interests, subject to the stated venue requirements. Minnesota law, without regard to conflict of laws principles, shall exclusively govern these Terms and any Claims. Any Claim by participant or Organization (as applicable) for breach of obligation under these Terms must be commenced within one (1) year after the date upon which the alleged breach occurred.


Miscellaneous

These Terms are the entire agreement between the parties regarding this subject matter. All other agreements between the parties with respect to other matters shall remain in full force and effect according to their terms. These Terms may not be modified or waived, except through a writing specifying such modification or waiver and signed by authorized representatives of 3M and participant or Organization (as applicable). These Terms are binding on the successors and assigns of the parties, provided that 3M may terminate these Terms in the event that participant or Organization (as applicable) assigns or otherwise transfers its rights hereunder (whether such assignment or transfer is effected by the sale or transfer of assets or by operation of law). Any notices given to 3M hereunder must be sent by email to 3MCollisionRepairAcademy@mmm.com. Any notices given to participant or Organization (as applicable) hereunder will be sent to the email address which participant or Organization (as applicable) has provided to 3M.
